These Terms of Service govern your use of Covershift, a marketplace operated by Covershift, Inc. that connects licensed physicians with US healthcare facilities for specialty call coverage. By creating an account or using the service, you agree to these terms.
1. Eligibility
- Physicians must hold an active, unrestricted MD or DO license in at least one US state
- Hospitals and ancillary facilities must be Medicare-enrolled with a valid NPI Type 2
- Partner organizations (e.g. Covershift) must have a signed Master Services Agreement with Covershift, Inc.
- All users must be 18 or older
2. What Covershift is, and isn't
Covershift is a marketplace. We are not:
- A staffing agency, we don't employ physicians or assign you to shifts. You contract directly with the hospital under your existing PSA
- A credentialing body, we don't verify your license; the hospital's Medical Staff Office does that off-platform. We surface your status as reported
- A clinical decision support tool, no patient data flows through Covershift
- A billing or RCM service, your billing partner (e.g. Covershift) handles claim submission and 1099 reporting
3. Your account
- You're responsible for keeping your password and authenticator device secure
- Notify support immediately if your account is compromised
- One account per person. Sharing credentials is grounds for suspension
- You may close your account at any time from Profile → Settings or by emailing hello@getcovershift.com
4. Claiming and covering shifts
- Shifts on Covershift are first-come, first-served once you are credentialed at the posting hospital
- Once you claim a shift, you've committed to cover it. If you can't make it, contact the hospital's MSO directly as early as possible, repeated no-shows are grounds for account termination and reporting to your state medical board
- The hospital's MSO has final authority over privileges. Claiming a shift does not waive any hospital's right to refuse a specific physician (block-list provisions)
- All clinical care during a covered shift is governed by the hospital's bylaws and your existing professional liability arrangements, not by Covershift
5. Payment
- Hospitals post a rate per shift and control its visibility. When the hospital allows it, and you're credentialed at that hospital, you see the exact posted rate, and that rate is what you'll be paid. Where a hospital keeps rates private, the figure may appear as a range or stay hidden until you claim the shift
- Payment is processed by our contracting and billing partner (currently EA Health) through standard 1099 contractor channels. You receive the full posted rate. Covershift charges no platform fee to physicians and deducts nothing from your pay; our fee is billed to the hospital on top of the rate it posts
- We don't withhold taxes. You're responsible for your own quarterly estimated payments and annual return
- Disputes about shift hours, conditions, or pay should be raised first with the hospital, then escalated to hello@getcovershift.com if unresolved
6. Acceptable use
You agree not to:
- Misrepresent your credentials, identity, or affiliations
- Use Covershift to arrange shifts off-platform in a way that disintermediates the marketplace (your PSA prohibits this; we monitor for patterns)
- Attempt to reverse-engineer the rate-blur, name-redaction, or anti-disintermediation features
- Scrape, mass-download, or republish the hospital directory
- Use the AI coach or AI follow-up features to harass, mislead, or impersonate other users
- Probe for vulnerabilities outside of a responsible-disclosure framework, report to security@getcovershift.com instead
7. Intellectual property
Covershift, the Covershift wordmark and logo, the pay-benchmark data, and the platform software are owned by Covershift, Inc. Your content (your profile, your claim history, anything you submit) remains yours; you grant us a worldwide license to use it only to operate and improve the platform.
8. Disclaimers and limits
Covershift is provided “as is.” We don't guarantee that shifts will be available, that pay rates will remain stable, or that the platform will be uninterrupted. To the maximum extent permitted by law, our aggregate liability for any claim arising from your use of the platform is limited to the platform fees we charged you in the 12 months preceding the claim, or $100, whichever is greater.
9. Termination
- You can close your account anytime, see §3
- We may suspend or terminate accounts that violate these terms, with email notice except in cases of fraud, safety risk, or legal mandate
- On termination, your existing shift commitments remain enforceable; future-dated commitments may be cancelled at our discretion
10. Changes
We update these terms occasionally. Material changes are emailed to active users at least 30 days before they take effect.
11. Disputes
These terms are governed by Delaware law. Any dispute will first be mediated in good faith. If mediation fails, disputes are resolved through individual arbitration in Delaware under AAA Commercial Rules. You waive any right to participate in a class action.
